MOFIU GENERAL CONDITIONS OF SALE

1. GENERAL PROVISIONS These General Conditions of Sale shall apply to all sales of hardware, software, and related services (collectively, the "Products") by MOFIU Networks ("MOFIU") to the purchasing party ("Buyer"). Any variation to these terms must be expressly agreed upon in writing by an authorized representative of MOFIU. Terms and conditions provided by the Buyer (such as Purchase Order terms) shall not apply unless explicitly accepted in writing by MOFIU.
2. ORDERS AND CANCELLATION All orders placed by the Buyer are subject to acceptance by MOFIU. Once an order is accepted by MOFIU and payment is processed, the order is considered firm and is non-cancellable and non-refundable. Any modifications to an existing order must be mutually agreed upon in writing and may be subject to additional charges and lead time adjustments.
3. PRICING AND PAYMENT TERMS All prices are quoted exclusive of all applicable taxes, duties, and customs fees. The standard payment term is 100% in advance via telegraphic transfer (T/T) before production or dispatch, unless otherwise stated in a written commercial agreement. MOFIU reserves the right to withhold delivery until full payment has been received and cleared in MOFIU’s designated bank account.
4. DELIVERY AND TRANSFER OF RISK Unless otherwise agreed in writing, all deliveries are made Ex Works (EXW, Incoterms 2020) at MOFIU’s designated manufacturing facility or warehouse. The risk of loss or damage to the Products shall pass to the Buyer immediately upon the Products being made available for collection by the Buyer or the Buyer's designated carrier. MOFIU is not liable for any delays, losses, or damages occurring during transit.
5. INTELLECTUAL PROPERTY AND SOFTWARE LICENSE All Intellectual Property Rights related to the Products, including but not limited to firmware, software, trademarks, patents, and hardware designs, shall remain the sole and exclusive property of MOFIU. Software and firmware embedded within the Products are licensed, not sold, to the Buyer for use solely in conjunction with the purchased hardware. The Buyer shall not copy, modify, decompile, reverse engineer, or disassemble any MOFIU software or hardware.
6. WARRANTY AND RMA POLICY MOFIU warrants that the hardware Products will be free from defects in material and workmanship under normal use for a period of twenty-four (24) months from the date of shipment. This warranty does not cover damages resulting from misuse, unauthorized modification, improper installation, natural disasters, or operation in harsh environments exceeding the specified technical ratings. To exercise warranty rights, the Buyer must obtain a Return Merchandise Authorization (RMA) number from MOFIU before returning any Product.
7. LIMITATION OF LIABILITY In no event shall MOFIU be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of revenue, loss of data, or production downtime arising out of or related to the use or inability to use the Products. MOFIU’s total cumulative liability for any claims arising out of the sale of Products shall not exceed the actual purchase price paid by the Buyer for the specific Product giving rise to the claim.
8. FORCE MAJEURE MOFIU shall not be liable for any failure or delay in fulfilling its obligations under these terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, wars, terrorism, strikes, labor disputes, material shortages, or global supply chain disruptions.
9. EXPORT CONTROL AND COMPLIANCE The Buyer acknowledges that the Products may be subject to international export control laws and regulations. The Buyer agrees not to export, re-export, or transfer the Products to any embargoed countries, sanctioned entities, or individuals, nor use the Products for military or prohibited end-uses in violation of applicable international laws.
10. GOVERNING LAW AND DISPUTE RESOLUTION These General Conditions of Sale shall be governed by and construed in accordance with the laws of the jurisdiction where MOFIU’s principal place of business is registered. Any disputes arising out of or in connection with these terms that cannot be resolved amicably shall be submitted to the competent courts of MOFIU’s registered jurisdiction.
